INTRODUCTION

At AfterDark Studio, we believe in transparent, creative, and collaborative relationships with the artists, agencies, and partners we support. These General Terms and Conditions apply to all services, packages, and agreements provided by AfterDark Studio, including social media management, content creation, strategic branding, advertising, and digital marketing for artists, promoters, and creative professionals. Our packages include month-to-month and yearly subscription options with varying service levels (Starter, Growth, Pro). All services are performed with a hands-on and flexible approach, built around mutual trust, clear communication, and professional integrity.

ARTICLE 1: DEFINITIONS

Agreement: A written agreement or digital contract between AfterDark Studio and the Client outlining the chosen package (Starter, Growth, Pro), payment terms, and service details.

Client: The individual, artist, agency, or organization entering into an Agreement with AfterDark Studio.

Services: The services provided under the Agreement, including but not limited to content creation, social media strategy, copywriting, advertising (Meta), design, visual branding, and strategic consulting.

Monthly Subscription: A flexible subscription model with a minimum 3-month commitment, billed monthly.

Yearly Subscription: A 12-month fixed-term commitment billed monthly at a reduced monthly rate.

AfterDark Studio: The service provider, registered under Chamber of Commerce no. 96903392, based in Amsterdam, The Netherlands.

ARTICLE 2: SCOPE & APPLICABILITY

  1. These General Terms and Conditions apply to all offers, subscriptions, services, packages, and projects provided by AfterDark Studio.

  2. Agreements are only binding once confirmed in writing by AfterDark Studio.

  3. Deviations from these terms are valid only when explicitly agreed upon in writing.

  4. In case any clause is found invalid or unenforceable, the remaining provisions remain fully applicable.

  5. Client’s general terms and conditions are explicitly excluded unless approved in writing by AfterDark Studio.

ARTICLE 3: PACKAGES & SERVICES

  1. AfterDark Studio offers three standard packages: Starter, Growth, and Pro. Each includes specified services as described in the proposal or Agreement.

  2. Any services beyond the agreed package will be billed separately as additional work.

  3. AfterDark Studio retains creative freedom and may consult the Client regularly to ensure the quality and consistency of brand tone and visual identity.

ARTICLE 4: DURATION & TERMINATION

  1. Monthly Subscriptions: The minimum term is 3 months. After this period, the contract continues on a month-to-month basis unless cancelled with 30 days’ written notice.

  2. Yearly Subscriptions: These are fixed-term 12-month agreements. Early termination by the Client requires full payment of the remaining contract value.

  3. AfterDark Studio reserves the right to terminate an agreement immediately in the event of breach of contract, misuse of content, or repeated late payment.

ARTICLE 5: PAYMENT TERMS

  1. The Client agrees to pay the package rate as defined in the Agreement:

    • Starter: €500/month (monthly), €475/month (yearly)

    • Growth: €750/month (monthly), €700/month (yearly)

    • Pro: €1,000/month (monthly), €900/month (yearly)

  2. All payments are due on the 15th of each month.

  3. Late payments beyond 7 days may result in service suspension.

  4. Additional work will be billed at a standard hourly rate as stated in the Agreement.

  5. Prices are exclusive of VAT unless stated otherwise.

ARTICLE 6: CLIENT RESPONSIBILITIES

  1. The Client must provide timely access to brand materials, approvals, social media accounts, and any other input required to execute the agreed services.

  2. Failure to provide necessary access or approval may result in delivery delays or a reduced scope of work for that period.

ARTICLE 7: INTELLECTUAL PROPERTY

  1. All deliverables and content remain the property of AfterDark Studio until full payment is received.

  2. Once fully paid, the Client may use and publish the content for personal or business use but may not resell, alter, or distribute to third parties without permission.

  3. AfterDark Studio retains the right to showcase work for portfolio and promotional purposes, unless otherwise agreed in writing.

ARTICLE 8: CONFIDENTIALITY

  1. Both parties agree to keep all sensitive, creative, or business-related information confidential.

  2. This includes strategies, pricing, content calendars, brand assets, and all unpublished material.

  3. This confidentiality obligation remains in effect during and after the Agreement term.

ARTICLE 9: NON-CIRCUMVENTION

  1. The Client may not work directly with any freelancer, contractor, or creative introduced by AfterDark Studio, without written approval.

  2. If this clause is breached, the Client agrees to pay a penalty fee of 30% of the total contract value.

ARTICLE 10: LIABILITY

  1. AfterDark Studio will provide services to the best of its professional ability, but is not liable for:

    • Third-party platform issues (e.g. Instagram, Facebook outages or restrictions)

    • Algorithmic changes affecting reach or performance

    • Client-side delays or incomplete submissions

  2. AfterDark Studio’s liability is limited to the total amount paid by the Client in the 3 months preceding the issue.

  3. In no case shall AfterDark Studio be liable for indirect damages or loss of profit.

ARTICLE 11: GOVERNING LAW

  1. All Agreements are governed by Dutch law.

  2. Disputes will be submitted exclusively to the competent court in Amsterdam, The Netherlands.
